These Terms and Conditions are here so that everyone knows where they stand. If you have any questions about anything stated here, please do get in touch with me.
I've been lucky in that I've not yet had to enforce any of these rules so far. But, just in case…
First things first. Unless you've been vouched for by another client, before I start writing for you, I will need you to sign a contract and send written confirmation that you have read these Terms and Conditions and agree to be bound by them.
Your contract is between me and you. If you are hiring me on behalf of your company or any other group that isn't you alone, you warrant that you are authorised to do so. If you are hiring me on behalf of an agency or on behalf of a client of the agency you work for, the contract is between me and your agency. Not between me and your agency's client.
Your quote will include the exact cost of the project which you have asked me to undertake based on the information you have given me about it.
The only time this will ever change will be if you want to change the scope of the project or your requirements. In this case, I will always discuss the changes you want with you first, how that may change the price and make sure that we're both happy with that before doing any of the price-altered work.
What your price includes
In short - unless it explicitly says so - the price for your service will include everything I need to do to complete your project. This includes all research, planning, any preliminary drafts you may want to see, any revisions, any time taken to discuss the work further with you by phone or email, as well as submission of the final draft.
Terms of payment
If you have been referred to me by a current client, I may be happy to commence work without an initial deposit or payment.
If not, a deposit of 50% of the price of your project will be required before I start work.
I will submit a final invoice to you along with the final draft of your work. The balance payment (or full payment if you were referred) is to be made within 30 days.
I accept payment by bank transfer.
If you don’t pay within the standard 30 days, I may add a 10% late payment charge onto your outstanding invoice. I also won't be completing any further work for you until the outstanding invoice and any late fees are paid. For any future work, I may request full payment in advance.
When I start work
As soon as I receive an email from you with clear instructions that you agree to our quote and approve the project, I will get started.
The only exception to this is if we are working together for the first time and you haven't been referred to me by an existing client. In this case, I will require that you pay a 50% deposit first - as detailed in "Terms of payment" above.
You can cancel your work any time before you've paid your deposit without any cost. But, once you've paid your deposit, it is non-refundable. That's because as soon as you've paid it, I'll have started on your work.
Copyright and Intellectual Property rights
Copyright to the copy is owned by me until I receive your full payment. If you default on payment, you cannot use the copy until I receive full payment.
After the project is complete and I have received full payment, you own all rights to the copy in the form for which it was originally intended.
Breach of copyright
If you send me written materials as part of the reference materials or brief for me to use in writing your project, you are confirming that you are authorised to do so and that you indemnify me against any action arising directly or indirectly through the use of this content.
I may ask you for a review or testimonial to include on my website or marketing channels after a project is completed. Unless you've specifically requested that I not do so, I may also use sections of projects I have written for marketing purposes.
Errors, omissions and indemnity
I always check all of my work several times to avoid any errors. It should be completely free from mistakes of any kind. That said, final accountability for the content rests with you. You should always check it before using it for the purpose you have in mind. As previously stated, should revisions be required, I am always happy to make them.
But. I shall not be held liable in any country, including liability arising from copyright infringement and libel, which comes as a result of the way you use my services. You agree to indemnify me against any claim for compensation or damages brought about as a direct or indirect consequence of the work I do for you or your organisation.
Any claims, guarantees or statements made regarding your goods or services made in your content are yours to check and uphold. No claim for compensation due to any negative effect on you or your organisation can be made against me.
I want you to be absolutely 100% happy with the work you get from me. To this end, I don't normally put a hard-and-fast limit on the number of revisions you can request. But more than one or two are rarely - if ever - necessary for most projects.
Should you ever not be happy with the content I've created, it's quick and easy to get in touch and let me know so that we can work together to get you just what you wanted.
If it ever comes to a point where we can't make changes which you feel meet your brief (though I must point out that this has never happened), we can cancel our contract with no ill-will on my part. Work that I've already completed is to be paid for and you will own the work once I have received full payment as normal.
